Licensed Virtual Asset Advisory Services Provider (VARA, Dubai)

1. Introduction and Acceptance
These Terms of Service ("Terms") govern the use of advisory services offered by Gap 3 Partners FZCO, a licensed Virtual Asset Advisory Services Provider regulated by the Dubai Virtual Assets Regulatory Authority (VARA). By engaging with our services, the client ("Customer") agrees to be bound by these Terms and all related policies.
2. Definitions
2.1 Company / Contractor: Gap 3 Partners FZCO, a company duly licensed by VARA.
2.2 Customer: The legal or natural person engaging Gap 3 Partners FZCO’s services.
2.3 Services: Strategic, regulatory, and compliance advisory related to virtual assets.
2.4 Agreement: The binding contract between Gap 3 Partners FZCO and the Customer based on these Terms and a corresponding invoice.
3. Scope of Services
Gap 3 Partners FZCO offers services including but not limited to:
- Virtual asset business strategy and regulatory guidance;
- Compliance assessments and framework design;
- Risk management advisory specific to virtual assets;
- Due diligence and governance support.
We do not offer direct investment, custody, trading, or portfolio management services.
4. Engagement and Onboarding
4.1 The Agreement becomes effective upon the Customer's acceptance of the service invoice and advance payment.
4.2 An onboarding period of five (5) business days may apply to tailor the engagement to the Customer’s specific needs.
4.3 These Terms shall be deemed accepted upon payment or signature, whichever occurs first.
5. Payment Terms
5.1 Payments can be made via wire transfer or, subject to compliance with VARA regulations,through permitted virtual assets as specifically agreed in writing.
5.2 Any transaction fees or intermediary charges are borne by the Customer.
6. Customer Obligations
6.1 Provide all necessary information in a timely manner;
6.2 Cooperate with Gap 3 Partners FZCO during the course of service delivery;
6.3 Not engage in or request unlawful or non-compliant activities.
7. Confidentiality and Data Protection
Gap 3 Partners FZCO shall maintain the confidentiality of all Customer data in accordance with UAE Federal Decree Law No. 45 of 2021 on Personal Data Protection, VARA Data ProtectionStandards, and other applicable UAE regulations. Customer data will be stored within the UAEunless otherwise permitted by law.
8. Intellectual Property
All deliverables created during the provision of Services shall become the intellectual property of the Customer upon full payment, unless otherwise agreed in writing.
9. Limitation of Liability
Gap 3 Partners FZCO provides services with professional care and skill but shall not be liable forindirect, incidental, or consequential damages. Our total aggregate liability shall be limited to theamount paid for the specific service rendered, except in cases of gross negligence, willful misconduct, or as otherwise prohibited by UAE law.
10. Regulatory Compliance
The Customer represents that:
- It is not a sanctioned entity or individual;
- It complies with applicable anti-money laundering (AML) and counter-terrorist financing(CTF) regulations;
- It is not using the services for any illegal activity.
Gap 3 Partners FZCO reserves the right to terminate the Agreement immediately if the Customer is found to be in breach of this clause.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of the Emirate of Dubai. Disputes shall be resolved by thecompetent courts of Dubai, unless otherwise agreed in writing.
12. Changes to Terms
Gap 3 Partners FZCO reserves the right to modify these Terms. Any material changes will be communicated to Customers with 30 days' prior written notice. Updates will be posted on ourwebsite and, unless otherwise required by VARA regulations or UAE law, take effect after the notice period.
